Paramount Threatre of the Arts' Board of Directors reviews the Form 990 in detail prior to filing the return.

Form 990, Part VI, Section B, line 12C

The policy was adopted by the Board for the fiscal year ending June 30, 2010 and procedures to monitor and enforce compliance have been developed.

Form 990, Part VI, Section B, line 15

The Executive Compensation Policy was adopted by the Board during the fiscal year ending June 30, 2010. The Policy includes a yearly evaluation of the general manager's performance and a competent salary survey as a basis for compensation discussions. A committee of the Board will meet independent of the manager to discuss performance relative to the position description. A similar discussion will be held by the committee concerning compensation. The committee will make its recommendation to the Board. The full Board will consider the recommendations in executive session. The committee or the Board Chair will then meet with the general manager to discuss and document the evaluation and goals for the upcoming year. Compensation for the upcoming year will also be discussed and documented.

Part X, Line 2:

The Theatre has received notification that it qualifies as a tax-exempt organization under Section 501(c)(3) of the U.S. Internal Revenue Code and corresponding provisions of California Revenue and Taxation Code, and accordingly, is not subject to federal or state income taxes. Accordingly, no provision for federal income taxes is required. The Theatre applies the guidance on accounting for uncertain tax provisions in FASB ASC 740 Income Taxes. The Theatre is no longer subject to income tax examinations for tax years up to and including 2021.
