Governance Explanations

Form 990, Part VI, Section A, Line 3

Certain duties traditionally performed by the finance department were performed by Anchin, Block & Anchin LLP, a consulting firm with expertise in the field. Duties performed included assisting with financial estimates, assisting the CEO with the budget process, preparation of monthly financial statements, and other financial reports as requested by funding agencies, and for providing technical support to the organization's accounting staff.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by the independent accounting firm that conducts annual financial statement audit and information provided by the accounting department of the Health Center. Prior to filing, a tentative draft is reviewed by the president and CEO and the Executive Committee of the Board of Directors. Once any updates are made, a final draft will be provided to the full Board.

Form 990, Part VI, Section B, Line 12C

All employees and Board of Directors of the Health Center are required to complete an annual conflict of interest statement of disclosure. This is kept in the personnel and board volunteer file. The Policy also includes the disclosure of conflicts of interest as they arise.

Form 990, Part VI, Section B, Line 15A

The Board utilizes California Salary Survey data to prepare the compensation scale. The Board of Directors reviews the information and considers adjustments to current compensation, where appropriate, to ensure that all employees are paid according to their contribution to the organization. This procedure was last performed in July-August 2025. The Board aso reviews the performance of the Chief Executive Office and makes salary determinations based on the above mentioned methodology. The CEO's compensation was revewed using this procedure. The CEO evaluates key management employees on an annual basis and makes compensation determinations based on the above mentioned methodology as approved by the Board.

The Health Center's governing documents and financial statements are made available upon request while keeping within the limits of HIPAA guidelines for protected information. All documents are available on an annual basis without restriction to the independent auditor.

Financial Statement Notes

Part X : FIN48 Footnote

The accounting standard on accounting for uncertainty in income taxes addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under the guidance, the Clinic may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the Clinic and various positions related to the potential sources of unrelated business taxable income (UBIT). The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. There were no unrecognized tax benefits identified or recorded as liabilities for fiscal year 2025.
