Naturebridge has a written conflict of interest policy that all board members and employees must read when they join the organization. The policy is reviewed by the board and management on a regular basis. When management gains knowledge about a potential conflict of interest, the issue is investigated and addressed at the appropriate level. If there is a potential conflict of interest at the board level, the affected member or members excuse themselves from voting or otherwise influencing the decision.

The board performs an annual assessment of the ceo's performance and the ceo performs an annual assessment of the cfo. Input for the performance reviews includes feedback from the both the board and staff of the organization. Once the reviews are completed, the board reviews comparable salary data for both positions and documents their decision for salary increases. Salary increases for both the ceo and cfo are memorialized through a change status form signed by the board chair (for the ceo), ceo (for the cfo) and the human resources director. All other salaries are approved by the board through its approval of the annual budget.

The organization's permanently restricted net assets consist of eleven endowment funds, which have been established for a variety of purposes. These funds are invested in perpetuity, the income from which is expendable for operations. Certain of the endowment funds of the organization are subject to donor restrictions requiring that the income be used only for specified purposes, while income from the remaining endowments may be used for the general purposes of the organization.

PART X, LINE 2:

The organization is exempt from federal and state taxes under section 501(c)(3) of the internal revenue code and section 23701d of the california revenue and taxation code, and is not considered by the internal revenue service to be an organization other than a private foundation. Management evaluated the organization's tax positions and concluded that it has maintained its tax-exempt status and that the organization has taken no uncertain tax positions that would require adjustments in the financials statements to comply with provisions of this guidance.
