“The performance and compensation of all key employees of center point is reviewed perioodically by the compensation committee of the board of directors. The compensation committee is composed of volunteer directors which are unrelated to, and not subjected to the control of any of the key employees. All review and consideration of compensation provided by center point is made by the compensation committee in executive session without any key employee present. The compensation committee obtained, reviewed and relied upon a compensation comparability study received from an independent firm tht provided detailed analysis of the comparable compensation figures for other nonprofit orgonizations of similar size and programs to those conducted by center point. Based on this informaiton and the committees review of the performance of the key employes in meeting the job requirements and annual goals, the compensation committee determined that the compensation provided to all key employees is reasonable and in compliance with irs regulations. Following its determination, the compensation committee documented the basis for its determination of the reasonable compensation package for each employee and reported its recommendation to the full board of directors for review, comment and approval.”
