Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared together with a public accounting firm in accordance with the financial statement audit and supporting documents. The completed form 990 is submitted for review by the executive director of the organization. It is then submitted for further review and approval by the finance committee of the board before filing with the irs.

Form 990, Part VI, Section B, Line 12C

Scs maintains a conflict of interest policy covering all board members, officers, and employees. All board members, officers and employees are required to complete a disclosure of potential conflict of interest annually. Whenever there is reason to believe that a potential conflict of interest exists, the designated reviewing official has a responsibility to bring the potential conflict of interest to the attention of the board for action at its next regular meeting or during a special meeting called specifically to review the potential conflict of interest. In the case of conflict interest exist, the board shall take such disciplinary and corrective action as the board shall determine.

Form 990, Part VI, Section B, Line 15A

The executive committee of the board of directors is responsible for reviewing and approving the executive director's compensation. Comparative salary and benefit information, such as the "fair pay" survey for northern california and comparisons with peer organizations in santa clara county, is used to establish executive director's compensation. Compensation deliberation and decisions were contemporaneously documented via email by the executive committee. The most recently conducted executive compensation study was completed in september 2023, for the executive director. Compensation for all other officers and executives is determined by data submitted to fair pay for northern california nonprofits, and third-party that analyzes and provides comparable data from other nonprofits. The results provided from fair pay are then used to align salaries for officers and executives to be within the median range.

Volunteers play a key role in accomplishing the agency's mission. They are a key resource to support the work scs performs such as packing and distributing food and providing tax advice.

Financial Statement Notes

PART X, LINE 2:

Sunnyvale community services is exempt from federal income taxes under section 501(c)(3) of the internal revenue code and state income taxes under section 23701(d) of the california revenue taxation code. Accordingly, no provision for income taxes has been made in the accompanying financial statements. In addition, the organization qualifies for the charitable contribution deduction under section 170(b)(1)(a) of the internal revenue code and has been classified as an organization that is not a private foundation under section 509(a)(1) of the internal revenue code. As of june 30, 2024 and 2023, the organization had no unrecognized tax positions or uncertain tax positions requiring accrual. Unrelated business tax, if any, is insignificant. No provision for income taxes has been provided in the financial statements.
