Governance Explanations

The executive committee consists of the officers of the board of directors (chair, vice chair, secretary, and treasurer) and has the authority to carry out any powers of the board of directors when it is necessary for decisions to be made or action to be taken while the full board is not in session. The executive committee may not appoint or terminate board members, officers, or employees or substantially alter the services provided by the organization or take any action not allowed by law. Alternate board members are only eligible to vote if a regular board member is absent.

Per the bylaws - article iii, section 6 - those that are eligible to vote in tribal elections of the tule river indian tribe are eligible to vote in the election of the board members for the filing organization, as well as those eligible who are aged 18 to 20 years old.

The chief executive officer (ceo) and chief financial officer (cfo) receive and review the form 990 with the cpa. The ceo and cfo then present to the board of directors, who are responsible for accepting the form 990 and approving the release of the form 990 for filing with the irs.

All board of directors are covered under the policy. As questions or issues arise that might have conflict of interest implications, the person or persons shall announce the conflict of interest and so notify the chairperson of the board of directors. Such person shall then abstain from discussion, considering, and voting on the matter. The clinic provides a majority of its services to members of the tule river indian tribe. Many program recipients have family members that are clinic employees or serve on the board of directors. Care is taken to make conflicts known and removal from decision processes if necessary.

The ceo salary was negotiated and set by the board of directors. A comparison of wages for similar sized organizations was taken into consideration. Compensation increases were made based on a study by a third party comparing similar organizations and the ceo's compensation was adjusted to more accurately reflect the industry standard. The compensation adjustments were documented in the meeting minutes during the approval of the annual budget in june 2024. Compensation for other officers and key employees was presented to the personnel and finance committees which are comprised of independent board members. Any compensation decisions were presented to the full board of directors for consideration and approval. Compensation increases were made based on a study by a third party comparing similar organizations and employee compensation was adjusted to more accurately reflect the industry standard. The compensation adjustments were documented in the meeting minutes during the approval of the annual budget in june 2024.

The clinic operates as a not-for-profit organization and has been recognized as exempt from federal and california income tax pursuant to internal revenue code section 501(c)(3) and california revenue and taxation code section 23701(d). The clinic is classified as a public charity under internal revenue code section 170(b)(1)(a)(vi). As required by u.s. Gaap, the clinic has identified and evaluated their significant tax positions and have determined that there is no material unrecognized benefit or liability to be recorded. There are no uncertain tax positions for the year ended june 30, 2024.
