Governance Explanations

Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder

Eligibility for and acceptance as a member of the local shall be provided in Article II of the NABET-CWA Sector By-Laws and article II of the Local By-Laws. There are two categories of membership: Active and Honorary. Any active member who meets the eligibility requirements under the local by-laws can run for office. No member shall have right, title of interest, whether legal or equitable in or to any contract, asset, claim or any property, whether real or personal, entered into, held or owned in the name of the International, NABET-CWA Sector, or any Local Union.

Form 990, Part VI, Line 7A: How Members or Shareholders Elect Governing Body

The President, Vice-President and Secretary-Treasurer are elected by active members in good standing of the local to terms of office of three years. Executive board members are elected by active members in good standing of the local who are employed in the appropriate constituency group. The regular term of office for executive board members is three year. The governing body of the Local consists of the elected president, vice-president, secretary-treasurer and elected executive board members. Active members in good standing as of the date of nomination closing may nominate any eligible member for office. Active members who are in good standing as of the date ballots are issued have the right to vote for the candidate(s) of their choice in accordance with the eligibility requirements provided for in the local by-laws.

Form 990, Part VI, Line 7B: Describe Decisions of Governing Body Approval by Members or Shareholders

Any increase in the rates of dues or initiation fee, or any general or special assessment adopted by the executive board must be approved by the active membership in good standing of the Local at a general or special membership meeting or by mail referendum vote. As of the date of filing of this Form 990 the rates of local dues are set by the local executive board in accordance with the local by-laws provisions concerning same which were approved by the membership. Decision of the governing body may be appealed in accordance with the appeals procedures specified in the local by-laws, the NABET-CWA Sector by-laws, and the CWA constitution.

The Organization does not have a committee with the authority to act on behalf of the governing body.

Form 990 is provided to all members of the governing body prior to filing as a matter of policy. The president and secretary-treasurer review the return. The return is then presented to the board for their review. After their review the return is signed and mailed.

The organization will provide a copy of the CWA Constitution, the NABET-CWA Sector By-Laws, and the Local By-Laws to any active member upon request. A current electronic copy of these documents is available on the organization's web site in an area accessible to the public. The yearly reviewed financial statements are provided to any member in good standing upon request. The financial statements are not made available to the public. The books and records are made available for inspection by members in good standing if such inspection is required by law. The books and records are not made available to the public. The LM-2 is available to the public through the U.S. Department of Labor web site, and such report includes financial and compensation information.

The Organization adopted the provisions of the Financial Accounting Standards Board Accounting Standards Codification (the FASB ASC) 740-10-25, Accounting for Uncertainty in Income Taxes. Under FASB ASC 740-10-25, an entity must recognize the tax benefit associated with a tax position taken for the tax return purposes when it is more likely than not that the position will be sustained. The implementation of FASB ASC 740-10-25 had no impact on the Organizations financial statements.

Executive board members are elected by active members in good standing of the local who are employed in the appropriate constituency group. The regular term of office for executive board members is three year. The governing body of the Local consists of the elected president, vice-president, secretary-treasurer and elected executive board members. Active members in good standing as of the date of nomination closing may nominate any eligible member for office. Active members who are in good standing as of the date ballots are issued have the right to vote for the candidate(s) of their choice in accordance with the eligibility requirements provided for in the local by-laws.
