The organization is organized as a non-profit corporation with members.

Form 990, Part VI, Section A, Line 7A

Annually the association holds a 'house of delegates' meeting where members of the association are elected by their component society in the state to represent them at the annual meeting. It is at this meeting that the members of the association elect the members of the governing body. Delegates and alternates can vote at the meeting and delegates and alternatives are voted on by their specific societies to represent the entire society at the annual meeting.

Form 990, Part VI, Section A, Line 7B

The members of the association approve significant decisions of the governing body. The association's members who attend the annual house of delegates vote on various association business such as election to the governing body, changes to the association's by-laws, etc.

Form 990, Part VI, Section B, Line 11B

The association's cpa prepares the 990 and e-mails a copy of the final version of the form 990 to the bookkeeper. The bookkeeper e-mails to each board member before it is filed. Each board member reviews the document and is encouraged to contact the association's cpa with any questions before the 990 is filed.

Form 990, Part VI, Section B, Line 12C

In july or august each year, a letter and conflict of interest form is sent to all board members, component society officers, and committee chairs and members are required to read and sign the association's conflict of interest policy and confidentiality agreement. In addition, all key-employees are required to read and sign these forms as well. These signed agreements are kept at the association headquarters. During the course of the year at the regularly scheduled board meetings and committee meetings, these forms are made available to all attendees to update the association on any new situation that could give rise to conflicts of interest. Following full disclosure of a possible conflict of interest, the board shall vote to authorize or reject the transaction or take any other action deemed necessary to address the conflict and protect california podiatric medical association's best interests. Both votes shall be by a majority vote without counting the vote of any interested director, even if the disinterested directors are less than a quorum, provided that at least one consenting director is disinterested.

Form 990, Part VI, Section B, Line 15

The president is compensated and there are no highly compensated employees other than the executive director. In determining compensation the use of data as to comparable compensation for similarly qualified persons in functionally comparable positions at similarly situated organizations was used. A new president is elected each year in june.
