The completed form 990 is reviewed by the cfo and the president/chief executive officer prior to filing.

Form 990, Part VI, Section B, Line 12C

Annually, the directors are provided with a memorandum outlining the disclosure requirements and conflict of interest provisions applicable to the directors and officers of gisvnni. Included is a conflict of interest and disclosure questionnaire that each director and officer is asked to complete, sign, date, and return to the chairman of the board. The responses are reviewed by the chairman and the president/ceo and any conflicts noted are addressed.

Form 990, Part VI, Section B, Line 15

The compensation of the ceo/president is determined by contract, the executive compensation committee and board of directors. The committee utilizes the results of an annual survey conducted by goodwill industries international, comparing the ceo/president's compensation to the compensation of ceo's at organizations of similar size to assess whether the proposed compensation package is fair and reasonable. The committee also evaluates whether or not a third party independent study should be commissioned; an independent study is typically requested every three years. Once the committee determines that the compensation is within the market range for a comparable chief executive officer, they make a recommendation that is then presented to the full board for review and approval. The compensation for the cfo is proposed by the ceo/president and is presented to the compensation committee for review in the same manner. If appropriate, the committee presents their recommendation for approval to the full board.

Part VIII Line 11A, Statement of Revenue

Nv territory license fee: in 2004, goodwill industries sacramento valley northern nevada (gisvnn) entered into an agreement with another goodwill organization allowing the goodwill organization to develop and operate a donated goods and retail services program in their northern nevada territory. The retail stores serve as community training centers to provide on-the-job training to people with disabilities, people with disadvantages and others having a hard time finding employment. Gisvnn receives income related to this agreement.

Part VIII Line 2, Statement of Revenue

Noncash contributions - the public contributed $46,527,188 of noncash items to goodwill industries of sacramento valley and northern nevada in 2013 as disclosed on schedule m. The organization has reported these donations on form 990 part viii, lines 2a and 2c as components of program service revenue rather than on line 1g, as the organization considers these donations a vital part of their program service and this reporting is consistent with the presentation on its audited financial statements.

Financial Statement Notes

PART X, LINE 2:

Fasb asc topic 740, accounting for uncertainty in income taxes, prescribes a recognition threshold and measurement attribute for financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. For those benefits to be recognized, a tax position must be more likely than not to be sustained upon examination by taxing authorities. For the years ended december 31, 2013 and 2012, the organization has no material uncertain tax positions to be accounted for in the financial statements under these rules. The organization recognizes interest and penalties, if any, related to unrecognized tax benefits in general and administrative expenses. The federal and state income tax returns of the organization for 2012, 2011, 2010, and 2009 are subject to examination by the taxing authority, generally for three and four years, respectively, after the due date.
