The members are the moderator and leadership team of the sisters of notre dame de namur east-west province.

Form 990, Part VI, Section A, Line 7A

The members may participate in the board's search and selection process for the president, and must consent to the description of qualifications and qualities required for that position.

Form 990, Part VI, Section A, Line 7B

The members have the sole power to vote on any sale or other transfer or encumbrance of any portion of the real property constituting the belmont campus as set forth in the audited financial statements of the organization as of june 30, 1998, any dissolution of the organization, provided the members shall first solicit the opinion of the board of trustees concerning dissolution, and the election of member-elected trustees.

Form 990, Part VI, Section B, Line 11B

The cfo and/or controller received a copy of the draft form 990 from the taxpayer's accounting firm. The cfo invited the president, board chair and audit committee members to a virtual meeting with the accounting firm to review the return and address any questions the committee members may have. After the review meeting and satisfactory answers to questions, the cfo forwarded the draft of the form 990 to the president's office for dissemination of the draft form 990 to the entire board of trustees for their review prior to filing the form 990. Board members were notified that the form 990 has been reviewed by the board members present at the form 990 review meeting. They were encouraged to review the form 990 and to forward any questions to the cfo and/or controller and either the cfo, controller or the accounting firm addressed the questions from the board members.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy and acknowledgement form must be reviewed and signed by all trustees and executive officers. It is expected to be an annual event. Any actual or potential conflict of interest and the resolution of such conflict is reviewed and decided by the executive committee of the board of trustees. It is expected that trustees and executive officers voluntarily disclose real or potential conflicts of interest and that if such conflict exists, that the trustee/officer recuse themselves from deliberating/noting on such transactions.

Form 990, Part VI, Section B, Line 15A

The process for determining compensation for the ceo or president of ndnu consisted of the board of directors appointing a subcommittee and collecting information for cohort and aspirant schools. Doing a comparison with the president's current compensation and determining what, if any, adjustment should be made. The decision was made with board approval. Their decision was relayed to human resources via email for implementation.

Financial Statement Notes

PART III, LINE 4:

The university's artwork collection consists of several beautiful paintings. The artwork is displayed prominently throughout the university where all students may view the art. The opportunity to view and enjoy the artwork enhances the educational experience of the students.

PART V, LINE 4:

The university's endowment consists of several individual funds established for a variety of purposes. Its endowment includes only donor-restricted endowment funds. As required by u.s. Gaap, net assets associated with endowment funds, including any funds designated by the board of trustees to function as endowments, are classified and reported based on the existence or absence of donor-imposed restrictions.

PART X, LINE 2:

The university operates as a nonprofit corporation ("corporation") and has been notified by the internal revenue service that it is exempt from federal income taxes under section 501(c)(3) of the internal revenue code and the california tax code. Management evaluated the university's tax positions and concluded the university had maintained its tax-exempt status and had taken no uncertain tax positions which require adjustment to the financial statements. Therefore, with few exceptions, no provision or liability for income taxes has been included in the financial statements.
