Governance Explanations

Form 990, Part VI, Section B, line 11

Form 990 is reviewed by the Board Treasurer then distributed to all Board members prior to filing.

Form 990, Part VI, Section B, line 12C

Sunny Hills' Board Governance Committee reviews periodic questionnaires completed by the board. Any conflicts found are also reviewed by the BOD. The board member who might have the conflict is not part of the discussion.

Form 990, Part VI, Section B, line 15

The process for determining compensation for the organization's CEO and top management include a compensation survey or study, approval by the board of directors and a written employment contract. In the fiscal year applicable, compensation for the organization's key employees is determined through examination of comparable data for the industry and geographic location, which is researched and updated on an annual basis.

Form 990, Part VI, Section C, line 19

Sunny Hills' governing documents, conflict of interest policy and financial statements are available to the public upon request. Financial information may also be viewed on the Form 990 posted on the Guidestar website.

Additional Explanations

Form 990, Part XI, line 9:

Pension Related Change -73,201.

Financial Statement Notes

Part V, Line 4:

Sunny Hills' Endowment Fund is comprised of permanently restricted funds; the portion not permanently restricted is utilized in accordance with donor stipulations.

Part X, Line 2:

Sunny Hills is exempt from taxation under Internal Revenue Code Section 501(c)(3) and California Revenue and Taxation Code Section 23701d. Generally accepted accounting principles provide accounting and disclosure guidance about positions taken by an organization in its tax returns that might be uncertain. Management has considered its tax positions and believes that all of the positions taken by Sunny Hills in their federal and state exempt organization tax returns are more likely than not to be sustained upon examination. Sunny Hills' returns are subject to examination by federal and state taxing authorities, generally for three and four years, respectively, after they are filed.
