Form 990, Part VI, Section B, Line 11B

The council's tax preparers provide a draft of the form 990 to the council's management for review. Upon receiving approval from management, the tax preparers present the return to the board of directors to address high level issues and comments. After the presentation, the board of directors reviews the return in detail and gives their feedback. After the board of directors' comments have been addressed, the return goes back to the board of directors for final approval. The tax preparers are then given authorization to finalize the return.

Form 990, Part VI, Section B, Line 12C

The council requires the board of directors to sign an acknowledgement of the conflict of interest policy annually. No member of the executive board or member of any committee thereof shall participate by discussion, voting, or by any other action taken by the executive board or any committee thereof, in the enactment of or defeat of a motion which relates to any transaction with any related party. In case any such matter is discussed at any meeting where any executive board or committee member who has such an interest is present, he or she shall promptly disclose their interest in the matter to be voted on to the chairman of the meeting. They shall not vote on the matter and at the discretion of the disinterested members present may be required to leave the meeting during the discussion and the voting on the matter.

The council's compensation committee is responsible for reviewing and approving salaries. The committee evaluates the compensation survey received from the national office, which compares salaries for similar positions in the area. Based on this information the committee determines the propriety of the council salaries and employment contracts.

Financial Statement Notes

PART IV, LINE 2B:

The council acts as the fiscal sponsor for various other scouting units. As the fiscal sponsor, the council coordinates the financial activities, through the receipt and disbursement of funds, on behalf of the various units. Revenue and expenses are not recognized in the accompanying statements of activities and the funds are not available for operating purposes. Cash receipts in excess of disbursements are reflected in the custodial accounts liability in the statements of financial position.

PART V, LINE 4:

The council adopted a board-approved spending policy that allows the operating fund to receive and recognize investment earnings originating from the endowment fund. As of december 31, 2024 and 2023, the board approved spending policy was 5% of the prior 3 years rolling ending market value, not to reduce the fair market value below the corpus. In establishing this policy, the council considered the long-term expected return on its endowment. Accordingly, over the long term, the council expects the current spending policy to allow its endowment to grow at an average of 5% annually. This is consistent with the council's objective to maintain the purchasing power of the endowment assets held in perpetuity or for a specified term as well as to provide additional real growth through new gifts and investment return.

PART X, LINE 2:

The council assesses whether it is more likely than not that a tax position will be sustained upon examination of the technical merits or the position, assuming the taxing authority has full knowledge of all information. If the tax position does not meet the more likely than not recognition threshold, the benefit of the tax position is not recognized in the financial statements. The council recorded no assets or liabilities for uncertain tax positions or unrecognized tax benefits.

MORE THAN 100 YEARS LATER, SCOUTING CONTINUES TO GROW WITH OUR GREAT VALLEY. THE MISSION OF THE SILICON VALLEY MONTEREY BAY COUNCIL, BOY SCOUTS OF AMERICA, IS TO PREPARE YOUNG PEOPLE TO MAKE ETHICAL CHOICES BY INSTILLING IN THEM THE VALUES OF THE SCOUT OATH AND SCOUT LAW. AS ONE OF 250 AUTONOMOUS COUNCIL OF THE BOY SCOUTS OF AMERICA, THE SILICON VALLEY MONTEREY BAY COUNCIL IS RESPONSIBLE FOR CARRYING OUT THIS MISSION IN THE COUNTIES OF SANTA CLARA, MONTEREY, SANTA CRUZ, AND SAN BENITO.
