The health trust aims to improve health and quality of life for residents of the greater pajaro valley by providing health promotion services and diabetes self-management education. “This corporation has an executive committee which, if any, shall be a standing board committee composed of the chair of the board, vice chair of the board, secretary, and treasurer; provided, however, that each such person is a director, except for the power to amend the articles and these bylaws, and subject to the limitations set forth in section 6.1 of the bylaws and by resolution of the board, the executive committee shall have and may exercise all the powers and authority of the board in the management of the business and affairs of this corporation in the intervals between meetings of hte board, subject to the direction and control of the board. Such persons may include a founder of or a substantial contributor to the heal th trust, a person with managerial authority over the heal th trust, or a person with control over a significant portion of the heal th trust's budget (such as a key employee). 4. Any person who met any of the above definitions at any time during the five years before the proposed transaction. Insider person includes in siders in any of the four categories above and any person described in either of the two categories below: 5. Spouses, ancestors, children, grandchildren, great-grandchildren, brothers, sisters, and the spouses of their children, grandchildren, great-grandchildren, brothers, and sisters of any insider. 6. Any entity in which any combination of persons listed above in categories 1 - 5 holds more than 35 percent of the combined voting power, if the entity is a business corporation; profits interests if a partnership; or beneficial inter est of a trust or estate. Each employee who is not an insider person shall disclose to the heal th trust's executive director all material facts regarding his or her interest (including relevant affiliations) in any transaction being considered by the heal th trust (other than his or her own compensation as an employee). The employee shall make that disclosure promptly upon learning of the proposed transaction. If there is a question as to whether the employee is an insider person, the executive director shall present this issue to the board of directors, and the board shall resolve the matter. Each insider person shall disclose to the board, or to the executive committee or other board committee empowered to approve a specific transaction or type of transaction ("committee"), all material facts regarding his, her, or its interest (including relevant affiliations) in the transaction. The insider person shall make that disclosure promptly upon learning of the proposed transaction. Insiders shall make disclosures on behalf of insider persons related to them unless the related insider person does so. (committee powers and procedures depend on state corporate law and the authority properly delegated to the committee by the board. Committee actions taken under this policy must also comply with such law and authority.) with regard to an employee who is not an insider person, the executive director shall determine whether a conflict of interest exists. Each director, each corporate officer, the top management official, the top financial official, and each employee of the heal th trust, and others that the heal th trust may identify, shall annually sign a statement, that: - affirms that the person has received a copy of this conflict-of-interest policy, has read, and understood the policy, and has agreed to comply with the policy; and - or certain individuals, di scloses the person's financial interests and family relationships that could give rise to conflicts of interest.”
