“The Conflict of Interest Policy is reviewed annually with the board of directors. The CEO discloses annually everything that he is involved in. The outside auditors review the policy with the board of directors for compliance. Related party transactions between board members and the BBB are disclosed in the audited financial statements. Employees as well as the board of directors review and sign the conflicts of interest policy annually.”

“Compensation for the CEO is set by the Executive Committee of the Board of Directors based on recommendations of the Compensation Committee. Based on that data and length of service and the health of the organization, a base salary is established. The BBB is currently in the second year of a three-year contract. Formal minutes of the compensation committee are not maintained.”
