Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is provided to and applies to all directors, officers, and employees. Prior to board or committee action on a contract or transaction involving a conflict of interest, a director or committee member having a conflict of interest and who is in attendance at the meeting shall disclose all facts material to the conflict of interest. A person who has a conflict of interest shall not participate in or be permitted to hear the board's or committee's discussion of the matter, except to disclose material facts and to respond to questions. Such person shall not attempt to exert his or her personal influence with respect to the matter, either at or outside the meeting. In the event it is not entirely clear that a conflict of interest exists, the individual with the potential conflict shall disclose the circumstances to the chair or the chair's designee, who shall determine whether a conflict of interest exists.

Form 990, Part VI, Section B, Line 15

The process included a performance review by the board, including input from key staff members; a review of ceo/ed salaries for a group of comparable organizations, using compensation survey and 990 information; and a review of internal salaries to ensure internal equity and avoid compression with the salaries of other executives in the organization. The organization has a compensation structure comprised of 30 grade levels. Like all positions in the organization, those of officers and key employees are assigned to grade levels based on job value. Minimum, midpoint, and maximum salaries are defined for each grade level, based on a competitive analysis of like positions. Each year the grade levels and salary ranges are reviewed and updated based on wage inflation, external competitiveness and internal equity issues. The grade level of each role is also reevaluated to ensure it is appropriate.

Financial Statement Notes

PART V, LINE 4:

The organization holds the following restricted purpose endowments: hearing dog endowment: the charitable purpose of the fund in support of the san francisco spca's former hearing dog program is modified to permit use of the fund to support specific sf spca programs which focus on the human-animal bond including the life of riley fund, the animal assisted therapy program and programs which provide charitable veterinary care to assist indigent persons with pets. Aldridge endowment: the purpose of the fund is to support medical and surgical treatment of owned animals with guardians unable to afford necessary care. Tsujimoto endowment: the purpose of the fund is to support veterinary medical costs for sfpd k9 dogs above the city's threshold of coverage whilst active on the force and for retired sfpd k9 dogs after retirement if sf spca is used by the dog's owner for veterinary services. The fund can also be used for veterinary medical costs (capped) for any sf resident animal requiring care because of disaster (such as fire) where the animal is brought by sf acc, sffd or the red cross to sf spca for treatment. The fund can also be used for veterinary medical costs of animals referred to sf spca by sf vet sos and sf acc (the latter for the purpose of rehabilitation and eventual adoption).

PART X, LINE 2:

Sf spca is exempt from income taxes under section 501(c)(3) of the internal revenue code and by the california revenue and taxation code section 23701d. Accordingly, no provision has been made for income taxes. Each year, management considers whether any material tax position sf spca has taken is more likely than not to be sustained upon examination by the applicable taxing authority. Management believes that any positions sf spca has taken are supported by substantial authority, and hence, do not need to be measured or disclosed in these financial statements.

SPAY/NEUTER CLINIC: THE SF SPCA SPAY/NEUTER CLINIC PROVIDES HIGH-VOLUME, HIGH-QUALITY SPAYING AND NEUTERING SURGERIES FOR OWNED ANIMALS AND FOR SAN FRANCISCO'S "COMMUNITY CATS," A TRAP-NEUTER-RELEASE PROGRAM.
