Mission

In the tradition of the Franciscan Sisters of the Sacred Heart who have served the charitable healthcare needs of the Los Angeles and San Francisco communities for many years, St. Joseph's Health Support Alliance is committed to supporting QueensCare in providing healthcare to the low income residents of Los Angeles County, as well as supporting healthcare for the needy of San Francisco, the city of St. Joseph's origin.

The two founders, or their designee(s) have the right to appoint up to six members of the governing body.

Form 990, Part VI, Section B, line 11B

The Form 990 is distributed to the President, Treasurer and the St. Joe's Audit Committee for review of its accuracy and completeness, discussion and approval. Once it has been approved, it is distributed to the Board of Directors at a regularly scheduled meeting. As stated in the updated "Form 990 Review" Policy dated October 19, 2018 states "St. Joseph's Health Support Alliance (SJHSA) shall follow all laws and regulations regarding the timely filling of tax forms and financial statements. While the Board of Directors ("the Board") sets policy and retains final responsibility for the Form 990, it has delegated responsibility to the Audit Committee ("the Committee") to review, approve, accept and file the Form 990 on its behalf. A copy of the Form 990 shall be distributed to the Board of Directors upon its completion each year.

Form 990, Part VI, Section B, line 12C

The organization's board members, corporate officers, and staff are subject to a conflict of interest policy. Pursuant to that policy, each such person is required to identify any transaction with the organization in which the person has (or may have) a financial interest. If a conflict (or potential conflict) is identified, the board, excluding any involved board members, carefully reviews the terms of the transaction and makes a determination as to whether the transaction is fair and reasonable to the organization under all the facts and circumstances. The organization monitors and enforces compliance with this policy by: (1) discussing such issues at its annual meeting; (II) requiring all covered persons to annually provide written certification of their compliance with the policy; and (III) carefully reviewing all material transactions to identify potential or real conflicts.

Form 990, Part VI, Section B, line 15A

A compensation committee comprised of independent board members formulates a proposed compensation level for the President by reviewing general compensation data for similarly situated organizations. Following such a review, the compensation committee presents its findings and recommendations to the board for approval at a duly organized meeting of the board at which board members are provided with the opportunity to ask questions. Based on the findings and recommendations of the compensation committee, a board vote is taken to establish the new compensation level for the President. Deliberations of the compensation committee and the board are recorded in the organization's minute book.

Financial Statement Notes

Part V, Line 4:

The organization's endowment funds are amounts attributable to a bequest made by the Estate of Frances M. Molera. The corpus of this bequest ($2,015,449), invested in marketable securities, is permanently restricted. The income from this bequest must be used for specific purposes, primarily for assistance to needy patients not entitled to benefits from medicare or hospital insurance.

Part X, Line 2:

St. Joseph's is exempt from taxation under Internal Revenue Code Section 501(c)(3) and California Revenue and Taxation Code Section 23701d. Generally accepted accounting principles provide accounting and disclosure guidance about positions taken by an organization in its tax returns that might be uncertain. Management has considered its tax positions and believes that all of the positions taken by St. Joseph's in its federal and state exempt organization tax returns are more likely than not to be sustained upon examination. St. Joseph's returns are subject to examination by federal and state taxing authorities, generally for three and four years, respectively, after they are filed.
