“Form 990 is prepared by an independent CPA firm in conjunction with the organization's accountant. A draft of Form 990 is reviewed by the accountant, and any corrections or modifications are made by the outside CPA. The revised draft is then reviewed by the Board of Directors. Any concerns that the Board of Directors have are raised with the CPA firm and a consensus is achieved. The return is then finalized and electronically filed with the taxing authorities.”

“Members of the Board of Directors are required to disclose to the entire Board if they, or any member of their immediate families, or any organization with which they are afilliated, presently transact business with the Council or if the Council is considering engaging in a transaction with any such person or organization with which the officer or director has a substantial financial interest. The Board may determine on a case by case basis whether a conflict of interest exists. A Board Member with the potential conflict will recuse him or herself from any discussion and any vote on whether a conflict of interest exists and will recuse him or herself from any discussion or vote on a proposed transaction.”

“East bay leadership council (eblc), through its affiliation with a professional employment organization (trinet), shares its employees with an unrelated organization, the contra costa economic partnership (ccep). Ccep reimburses eblc for the employee time it uses at fair market value. Eblc pays all salary, benefits, and payroll tax expenses from its accounts and nets all consideration received from ccep against these expenses on its books. The compensation expense reported on part ix, line 5 and 7 of the tax return, $217,322, is shown net of all reimbursements received from ccep.”
