The board may determine on a case by case basis whether a conflict of interest exists. A board member with the potential conflict will recuse him or herself from any discussion and any vote on whether a conflict of interest exists and will recuse him or herself from any discussion or vote on a proposed transaction. The council plans to adopt a whistleblower policy and document retention and destruction policy in the coming year.”

“East bay leadership council (eblc) shares its employees with an unrelated organization, the contra costa economic partnership (ccep). Ccep reimburses eblc for the employee time it uses at fair market value. Eblc pays all salary, benefits, and payroll tax expenses from its accounts and nets all consideration received from ccep against these expenses on its books. The compensation expense reported on part ix, line 5 of the tax return, $179,310, is shown net of all reimbursements received from ccep.”
