MISSION: The OSU Foundation partners with Oregon State University to engage our community, inspire investment, and steward resources to enhance the university's excellence and impact. VISION: To create a better world by inspiring support of - and for - Oregon State University

The OSU Foundation partners with Oregon State University to engage our community, inspire investment, and steward resources to enhance the university's excellence and impact. In fiscal year 2025, the Foundation advanced this mission by engaging more than 40,000 donors, alumni, parents and friends of the university through philanthropy, events, volunteer service and outreach. The Foundation raised over $200 million to support student success, faculty research and programs of innovation and discovery across the university and marked a historic milestone as the endowment's market value surpassed $1 billion for the first time, strengthening the university's long-term impact and sustainability. The Foundation's work aligns with Oregon State University's strategic plan, Prosperity Widely Shared, which focuses on three institutional goals: doubling research expenditures to drive discovery and solutions; increasing six-year graduation rates to 80 percent so every student can succeed;

Governance Explanations

Form 990, Part VI, Line 11B Review of form 990 by governing body

Organization's Process to Review Form 990 - After preparation and thorough review by the organization's Controller, CFO, tax accountants, and legal counsel, a draft of the Form 990 is distributed to the Audit Committee for full review and comment. Once approved by the Audit Committee, the final Form 990 is made available to all voting members of the Board of Trustees via our secure site. The trustees are then given the opportunity to ask questions about the Form 990. After considering all the review procedures above, the tax return is timely filed with the IRS.

Form 990, Part VI, Line 12C Conflict of interest policy

The Foundation has formal policies and procedures in place for annually documenting potential conflicts of interest among its governing body. At the beginning of each fiscal year, the organization's conflict of interest policy and code of ethics are sent to all new and returning trustees. Each trustee is asked to acknowledge receipt by returning a signed form indicating that they have read, understand, and agree to abide by these documents. Additionally, trustees must disclose in writing any potential conflicts of interest pertaining to Foundation business. All signed responses and disclosures become part of the Foundation's official records, and the full board is provided a list of individuals who declare potential conflicts. Throughout the fiscal year identified conflicts are monitored to ensure decisions remain unbiased and are compliant with governance and regulatory expectations.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

Compensation Process for Top Official: The OSU Foundation Board of Trustees, through its committee structure, oversees the development of the President/CEO's annual work plan and monitors progress and performance against established goals. Monthly meetings between the Executive Committee and the President/CEO ensure close and frequent monitoring of the organization's performance and the leadership of its top executive. Additionally, the Compensation Committee of the board performs periodic review of the top executive's compensation, which includes benchmarking of peer institutions' compensation structures. In FY25 the Compensation Committee obtained an independent opinion on the reasonableness of compensation paid to the CEO, as well as the remainder of the leadership team.

Form 990, Part VI, Line 15B Process to establish compensation of other employees

Compensation Process for Other Officers and Key Employees: The compensation of the organization's other officers and key employees is reviewed on an annual basis. The employee's immediate supervisor oversees the development of an annual work plan and monitors progress and performance against established goals. In FY25 the Compensation Committee obtained an independent opinion on the reasonableness of compensation to all members of the leadership team.

University donors have established these funds to provide support in perpetuity for a variety of purposes, including scholarships and fellowships, faculty positions, and general programmatic support. IRS990/Desc0CAPITAL PROGRAMS: The OSU foundation distributed these amounts, in accordance with donor intent, to the University in FY25 to support the construction or renovation of campus facilities. Major projects in FY25 included: The Huang Collaborative Innovation Complex, Valley Football Center enhancements, Reser Stadium - west side renovation, Withycombe Hall, Baseball Hitting Facility, Construction Safety Laboratory, Patricia Valian Reser Center for the Creative Arts, and Austin Hall. The Foundation works with donors to complement the State of Oregon's investment in university facilities - often matching state dollars one to one. Currently under construction, the 143,000-square-foot Huang Complex will house one of the most powerful supercomputers in the country. Construction of the $213 million complex is funded by $100 million in philanthropic commitments to the OSU Foundation, $72 million in state bonds and the remainder from university funds.
