Facilitation of disclosure. In connection with any actual or possible conflict of interest, an interested person covered by this policy should annually disclose to the board of directors on a form provided by the organization the existence of any financial interest that could give rise to conflicts of interest, such as a list of family members, substantial business or investment holdings, and other transactions or affiliations with businesses and other organizations. Procedures to manage conflicts. For each interest disclosed to the board of directors, the board of directors will determine whether to: 1.take no action; 2.determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest; 3.assure full disclosure to the board of directors and other interested persons and determine whether the transaction or arrangement is in the organization's best interest, and whether it is fair and reasonable; 4.ask the individual creating the conflict of interest to recuse from participation in related discussions or decisions within the organization; and/or 5.ask the individual creating the conflict of interest to resign from his or her position in the organization or, if the individual refuses to resign, become subject to possible removal in accordance with the organization's removal procedures. The organization's chairperson will monitor proposed or ongoing transactions for conflicts of interest and disclose them to the board of directors in order to deal with potential conflicts, whether discovered before or after the transaction has occurred.
