Additional Note on Interorganization Expense Reimbursements

To maintain clarity between the two entities, Sticky Culture and Sticky Co. operate under a formal costsharing agreement. Each organizations share of expenses is allocated according to weekly usage estimates, and all intercompany transactions are recorded in dedicated Due to/from accounts. This ensures that Sticky Culture only bears the portion of expenses truly supporting its nonprofit programs.

Conflict of Interest Safeguards

Sticky Cultures Board has a comprehensive Conflict of Interest Policy to address any overlapping interests with Sticky Co. All board members and officers must disclose potential conflicts annually and recuse themselves where appropriate, ensuring decisions align with our nonprofit mission.

Part I, Line 12 and Part IV

Sticky Culture does not directly employ staff or issue W2s. Individuals performing work for the nonprofit are employed by Sticky Co., which receives reimbursement from Sticky Culture solely for the hours devoted to nonprofit activities. Consequently, there is no reportable compensation on this Form 990EZ.

Part I, Line 16

The Other Expenses include various smaller operational costs that do not fit into other expense categories. Examples include bank fees, communications, office supplies, and technology services. These items support daily administration and the delivery of our program services.

As of December 31, 2024, Sticky Cultures net assets reflect a deficit. The deficit stems primarily from financing startup program costs through the relatedparty loan noted above. The organization plans to address this shortfall through ongoing revenue development and careful expense management.

It was approved on an armslength basis to finance the organizations earlystage operations.
