The indo-pacific partnership for prosperity inc.'s (ip3) mission is facilitating progress in combatting the climate crisis in the indo-pacific economic framework for prosperity ("ipef") partner nations, ensuring more resilient supply chains for critical goods to and from the ipef partner nations and strengthening economic and commercial ties in the lndo-pacific region, in support of the aims of fueling economic activity and investment, promoting sustainable and inclusive economic growth and benefitting workers and consumers in vulnerable communities, in each case, across the indo-pacific region, including but not limited to the u.s. Government's ipef upskilling initiative.ip3 ceased operation in 2026.

Governance Explanations

Form 990, Part VI, Section A, Line 4

Bylaws were amended by the board of directors in 2024. Changes to the bylaws include and are not limited to the following: - article iii, section 3.18: added board may appoint non-voting observers by unanimous vote. Observers receive board/committee materials unless otherwise determined, and their absence does not affect quorum. - article iv, section 4.06: removed provision granting the ceo the duties of treasurer if no treasurer is elected, and requiring board approval for ceo (or others) to enter into any transaction or series of related transactions exceeding $150,000.

Form 990, Part VI, Section B, Line 11B

The organization has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate: when the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is electronically sent to the board for approval. If any issues arise, they are forwarded to the outside accounting firm and the board reviews after revisions and resolutions. Once the board has approved the return it is filed with the internal revenue service.

The organization's conflict of interest policy applies to directors, a member of a committee with board-delegated powers, or a principal officer of the corporation. Annually, all applicable individuals will complete a conflict of interest disclosure statement. In connection with any proposed transaction or arrangement that raises an actual or possible conflict of interest, an interested person must disclose the existence and nature of his or her financial interest and must be given the opportunity to disclose all material facts to the directors and members of committees with board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion among the disinterested members of the board or committee and the interested person, the interested person shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. The minutes of the board meetings shall contain the names of the persons who disclosed the conflict, the board members who voted on the transaction, and the decision made surrounding the conflict.
