Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee shall be comprised of chairs of the standing committees and officers of the board of directors. The executive committee advises and prioritizes issues for board members to address. The executive committee shall provide leadership, guidance, and oversight to the organization, plays a key role in driving the organization's success, and ensures decisions made align with the organization's mission, vision, and goals. The executive committee shall normally meet between regular board meetings and shall promptly and accurately advise the full board of all members considered. The executive committee shall execute board policy and take action between board meetings on such matters that must be addressed on an expedient basis. The executive committee shall possess the full power and authority of the board, except as may be provided in the bylaws or in any resolution adopted by the board. Any action may be delegated from the board to this committee unless: (a) the articles or bylaws of the corporation prohibit delegation; or (b) the decision is reserved to the entire board.

The conflict of interest policy covers the board memebers. A person who has a conflict of interest shall not participate in or be permitted to hear the board's or committee's discussion of the matter except to disclose material facts and to respond to questions. Such person shall not attempt to exert his or her personal influence with respect to the matter, either at or outside the meeting. A person who has a conflict of interest with respect to a contract or transaction that will be voted on at a meeting shall not be counted in determining the presence of a quorum for purposes of the vote. The person having a conflict of interest may not vote on the contract or transaction and shall not be present in the meeting room when the vote is taken, unless the vote is by secret ballot. Such person's ineligibility to vote shall be reflected in the minutes of the meeting. For purposes of this paragraph, a member of the board of directors of accola has a conflict of interest when he or she stands for election as an officer or for re-election as a member of the board of directors. Responsible persons who are not members of the board of directors of accola or who have a conflict of interest with respect to a contract or transaction that is not the subject of board or committee action, shall disclose to the chair or the chair's designee any conflict of interest that such responsible person has with respect to a contract or transaction. Such disclosure shall be made as soon as the conflict of interest is known to the responsible person. The responsible person shall refrain from any action that may affect accola participation in such contract or transaction. In the event it is not entirely clear that a conflict of interest exists, the individual with the potential conflict shall disclose the circumstances to the chair or the chair's designee, who shall determine whether there exists a conflict of interest that is subject to this policy. Any responsible person who is uncertain about possible conflict-of-interest in any matter may request the executive committee to determine whether a possible conflict exists; the executive committee shall resolve the question by majority vote. If required, the question of potential conflict might be referred to counsel for an opinion prior to the executive committee vote. The chair shall report the disclosure at the meeting and the disclosure shall be reflected in the minutes of the meeting.

Ceo compensation is determined by partnership with outside counsel guidance, firms specialized in recruiting and placement of the roles, and approved by the board. Officer compensation is determined by a market study - supported by human resources- and presented to the board for consideration. PART V, LINE 4:

Of that portfolio, there are four endowment funds with pr pools. The health care endowment fund is intended to be used for health care related purposes. The campaign fund was a fundraising campaign intended to support the ministries of the sisters (sarah's oasis, learning in style and wisdom ways) and part of the funds were raised to support saint mary's health clinic. The insurance fund was designated to pay life insurance premiums for a sister. The consociates fund belongs to the province and is intended to fund their consociates program. That is the only fund where the entire pool is pr, and will eventually be returned to the sisters. The other funds have a pr principal amounts, but the earnings are either bd or unrestricted. The investment portfolio also has an unrestricted operating fund that is used to distribute an annual amount to support the programs.

PART X, LINE 2:

The organization is a tax-exempt organization under section 501(c)(3) of the internal revenue code and is not subject to federal or state income taxes on related business income. Donations to the organization are tax deductible to the extent allowed by law. The organization follows guidance in the income tax standard regarding the recognition of uncertain tax positions. The guidance prescribes recognition threshold principles for the financial statement recognition of tax positions taken or expected to be taken on a tax filing that are not certain to be realized. The organization is not aware of any activities that would jeopardize its tax-exempt status. The organization is not aware of any activities that are subject to tax on unrelated business income, excise, or other taxes.
