DETERMINATION OF AN ARMS-LENGTH TRANSACTION SHALL RELIANCE ON AN INDUSTRY SURVEY OF RATES FOR SIMILAR SERVICES. THE OWNERS OF THE FIRM SERVE AS OFFICERS AND DIRECTORS OF THE NONPROFIT CORPORATION, EQUAL JUSTICE LAW. THE FIRM OWNERS WILL NOT BE PAID FOR VOLUNTEER BOARD SERVICE. IN ACCORDANCE WITH THE ORGANIZATION'S CONFLICT OF INTEREST POLICY, THE FIRM OWNERS SHALL RECUSE THEMSELVES FROM ANY RELATED DISCUSSION OR ACTION RELATED TO COMPENSATION FOR THEIR SERVICES AS WELL AS ANY DECISION-MAKING RELATED TO AGREEMENTS WITH O'CONNOR WEBER OR ANY OTHER POTENTIAL CONFLICT OF INTEREST TRANSACTION.
