“The form 990 is prepared by a third-party accountant. After preparation, it is reviewed by the organization's executive director and finance committee. A copy of the form 990 is provided to the entire board of directors prior to filing with the internal revenue service.”

“The organization has a conflict of interest policy that requires directors, officers, key employees andother designated individuals to disclose if they have a personal or financial interest or relationship in a transaction involving the organization, whether directly or indirectly through a family member, controlled entity or business or investment relationship. Any individual with a personal or financial interest or relationship in a transaction involving the organization must be recused from the discussion, review and approval for that transaction. The transaction must be reviewed by disinterested persons who do not have a personal or financial interest in the transaction under review, and such disinterested persons may only approve the transaction after determining that the terms are fair and reasonable to the organization and in the organization's best interests. The organization may also consider whether there are alternative transactions or arrangements that are reasonably available under the circumstances that do not present a potential conflict of interest.”

“During the intitial start up year the organization didn't have any paid compensation to any employees. Compensation for the organization's ceo and key employees will be reviewed by the organization's compensation committee, which is composed of independent persons. The compensation committee will utilize comparability data to substantiate the reasonableness of the compensation package. The compensation committee recommends compensation decisions to the full board of directors for approval.”

“The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.”
