Form 990, Part VI, Section B, Line 12C

The conflict-of-interest policy is intended to permit the organization's board members to identify, evaluate, and address any real, potential, or apparent conflicts of interest that might, in fact or in appearance, call into question their duty of undivided loyalty to the organization. The policy applies to the organization's officers, directors, agents, employees and independent contractors. Each person is required to acknowledge, not less than annually, that they have read and are in compliance with the policy. When a person becomes aware of a proposed conflict of interest, they must take the following actions: 1. Immediately disclose the existence and circumstances of potential conflicts to the board of directors in writing; 2. Refrain from using personal influence to encourage potential conflicts of interest; 3. Physically excuse themselves from any discussions regarding the potential conflict, except to answer questions, including board discussions and decisions on the subject. The board shall determine whether a conflict exists and is material, and in the presence of an existing material conflict, whether the contemplated transaction may be authorized as just, fair, and reasonable to the organization. The decisions on these matters are at the sole discretion of hte board. The board shall document the basis for its determination in the minutes related to the meeting where the discussion occurred. The president shall ensure that the organization's officers, directors, agents, employees, and independent contractors are made aware of the policies with respect to conflicts of interest.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1THE CONFLICT-OF-INTEREST POLICY IS INTENDED TO PERMIT THE ORGANIZATION'S BOARD MEMBERS TO IDENTIFY, EVALUATE, AND ADDRESS ANY REAL, POTENTIAL, OR APPARENT CONFLICTS OF INTEREST THAT MIGHT, IN FACT OR IN APPEARANCE, CALL INTO QUESTION THEIR DUTY OF UNDIVIDED LOYALTY TO THE ORGANIZATION. THE POLICY APPLIES TO THE ORGANIZATION'S OFFICERS, DIRECTORS, AGENTS, EMPLOYEES AND INDEPENDENT CONTRACTORS. EACH PERSON IS REQUIRED TO ACKNOWLEDGE, NOT LESS THAN ANNUALLY, THAT THEY HAVE READ AND ARE IN COMPLIANCE WITH THE POLICY. WHEN A PERSON BECOMES AWARE OF A PROPOSED CONFLICT OF INTEREST, THEY MUST TAKE THE FOLLOWING ACTIONS: 1. IMMEDIATELY DISCLOSE THE EXISTENCE AND CIRCUMSTANCES OF POTENTIAL CONFLICTS TO THE BOARD OF DIRECTORS IN WRITING; 2. REFRAIN FROM USING PERSONAL INFLUENCE TO ENCOURAGE POTENTIAL CONFLICTS OF INTEREST; 3. PHYSICALLY EXCUSE THEMSELVES FROM ANY DISCUSSIONS REGARDING THE POTENTIAL CONFLICT, EXCEPT TO ANSWER QUESTIONS, INCLUDING BOARD DISCUSSIONS AND DECISIONS ON THE SUBJECT. THE BOARD SHALL DETERMINE WHETHER A CONFLICT EXISTS AND IS MATERIAL, AND IN THE PRESENCE OF AN EXISTING MATERIAL CONFLICT, WHETHER THE CONTEMPLATED TRANSACTION MAY BE AUTHORIZED AS JUST, FAIR, AND REASONABLE TO THE ORGANIZATION. THE DECISIONS ON THESE MATTERS ARE AT THE SOLE DISCRETION OF HTE BOARD. THE BOARD SHALL DOCUMENT THE BASIS FOR ITS DETERMINATION IN THE MINUTES RELATED TO THE MEETING WHERE THE DISCUSSION OCCURRED. THE PRESIDENT SHALL ENSURE THAT THE ORGANIZATION'S OFFICERS, DIRECTORS, AGENTS, EMPLOYEES, AND INDEPENDENT CONTRACTORS ARE MADE AWARE OF THE POLICIES WITH RESPECT TO CONFLICTS OF INTEREST.
