Form 990, Part VI, Section B, Line 12C

Enforcement of conflict of interest policy requires that members of the board sign a statement annually. The statement affirms that the member has received a copy of the policy, read and understands the policy, agrees to comply with the policy and understands that to maintain the tax exempt status of the nonprofit, only those activites accomplishing the exempt purpose will be engage in. The organization will also conduct periodic review of compensation arrangements and benefits, and arrangements with the organization's management to verify consistency with the tax exempt purpose of the nonprofit. The arrangement will be reviewed to ensure the arrangement does not result in private incurement, impermissable private benefit or can be characterized as an excess benefit transaction.

ReasonableCauseExplanation/ExplanationTxt0PLEASE ACCEPT OUR REQUEST FOR A PENALTY ABATEMENT. ALTHOUGH WE RECEIVED ONLY ONE GRANT INCOME LAST FISCAL YEAR, WE FAILED TO FILE A FORM 990. THE REASON FOR THIS FAILURE WAS DUE TO A LACK OF EXPERIENCE. LAST YEAR WAS OUR FIRST YEAR OPERATING AS AN ORGANIZATION. WE SPENT MUCH OF OUR TIME BUILDING OUR BOARD'S KNOWLEDGE BASE OF THE ORGANIZATION AND SIMPLY OVERLOOKED THIS IMPORTANT STEP. THE FINANCIAL ACTIVITIES OF THE ORGANIZATION WERE MINIMAL AND THE LATE FILING DID NOT RESULT IN HARM TO THE PUBLIC OR THE IRS. EFFECTIVE IMMEDIATELY, WE FORMALLY ESTABLISHED A BOARD OF DIRECTORS' FINANCE COMMITTEE. THIS COMMITTEE WILL OVERSEE OUR MONTHLY FINANCIAL ACTIVITY, ENSURE THE ORGANIZATION IS OPERATING WITHIN OUR BUDGET, PROPOSE AN ORGANIZATIONAL BUDGET EACH YEAR FOR THE BOARD TO ADOPT AND ENSURE THAT OUR OBLIGATIONS TO THE IRS AND OUR DONORS ARE MET ANNUALLY. WE BELIEVE THAT THIS WILL PREVENT ANY FUTURE OVERSIGHT IN FILING OUR 990.
