“The corporation has two classes of membership, class a and class b members. The individuals appointed by the incorporator of the corporation shall serve as the initial class a members (the "initial class a members") who shall serve in such role until such individuals' resignation or death. The individuals who are the members of the corporation's board of directors (the "board of directors") shall be the class b members of the corporation.”

“Each initial class a member may appoint a successor upon written notice to the board. The class a members shall have the right to elect, remove with or without cause, or fill any vacancy of any director (for clarity, any class b member), notwithstanding any vote of the class b members to the contrary.”

“Due to the small size of governing body (4 directors), theres are no committees with the authority to act on behalf of the governing body. The governing body discusses and votes on all issues relating to the organization.”

“The form 990 is prepared by an independent tax preparer. It is reviewed by the organization's chief financial officer and chief executive officer. Any questions they have are discussed with the tax preparer, and a complete copy of the form 990 is provided to all members of the organization's board of directors for their review prior to filing.”

“The organization has a conflict of interest policy which it annually monitors and enforces. All board members, officers, employees, and contractors annually sign a conflict of interest statement and have a duty to disclose any potential or actual conflicts that may exist. The full board is responsible for determining whether a conflict exists and how to proceed. The person with the conflict of interest is prohibited from voting on the matter.”

The decision is ruled by the standards of this kind of organization around the world, the country of residence and the experience and seniority of the professional. The compensation review process last occurred in 2024.”

The return is posted on guidestar.org and other similar types of websites. In addition, the financial statements, conflict of interest policy, governing documents, and form 1023 are also available upon written request or by calling the organization directly.”
