Form 990 governing body review Part VI line 11

Form 990 is prepared by an external tax preparer in coordination with management. Once a draft is completed, it is reviewed internally by the Executive Director and/or Finance Committee for accuracy and completeness. A copy of the final draft Form 990 is then distributed to all members of the Board of Directors prior to filing. Board members are given the opportunity to ask questions and provide feedback. The return is filed only after the Board has had reasonable time to review the document.

Conflict of interest policy compliance Part VI line 12C

The organization requires all officers, directors, and key employees to complete and sign an annual conflict of interest disclosure statement. These disclosures are reviewed by the Executive Director and/or the Board of Directors (or a designated committee) to identify potential conflicts. If a potential conflict is identified, appropriate procedures are followed in accordance with the organizations conflict of interest policy, including recusal from discussions or decisions where a conflict exists. The organization maintains documentation of disclosures and board actions, and reinforces its policy during board orientations and periodic trainings.

The compensation of the Executive Director (or top management official) is reviewed and approved by the Board of Directors using a process that includes comparability data from similar organizations and/or compensation surveys.
