COVERED PERSONS INCLUDE ANY CURRENT AND FORMER OFFICER, DIRECTOR, MEMBER OF A COMMITTEE WITH BOARD DELEGATED POWERS, HIGHEST COMPENSATED EMPLOYEES, OR KEY EMPLOYEE, ANY OF WHOM HELD THE NAMED POSITION WITHIN FIVE YEARS FROM DATE THE POSITION TERMINATED.
