Membership in the association is open to any individual or entity directly or indirectly engaged in the solar energy industry, including but not limited to research, publication, work force, production, consulting or professional services, equipment manufacture, marketing, promotion, sales, design, installation, or commercial application of any aspect of the industry. The board of directors or its designee will have the authority to determine the qualification for membership of any potential member and the appropriate category of such potential member, as well as to establish procedures for acceptance of an applicant for membership in the association. The board of directors may establish the obligations and privileges of various classes of membership. There are four classes of membership: a. "industry membership" includes those individuals or entities engaged in the solar energy industry through the private sector. B. "utility membership" consists of any public or private utility, municipal utility, peoples utility district, rural cooperative or rural electric cooperative, under the meaning provided in the oregon revised statutes, which provides electric and/or natural gas service in the state of oregon. C. Union membership consists of any union organization chartered in the state of oregon. D. "educational membership" includes those persons (individuals or entities) engaged in education, training and scholarship with respect to the solar energy industry.

Directors are elected according to their board position by the members at the annual meeting of the members or at a special meeting held for that purpose. The nominating committee prepares a slate of proposed directors to be presented to the membership at each meeting at which directors must be elected. For the election of directors for the at-large positions, the nominating committee will provide procedures for candidates to be presented to the membership for election at each meeting at which directors for either or both of these positions must be elected.

Form 990, Page 6, Part VI, Line 7B

Decision-making by members: the affirmative vote of a majority of the members present at a properly noticed meeting, for which a quorum has been achieved, is necessary and sufficient to make decisions or pass resolutions, unless a greater proportion is required by law, the articles or bylaws.

Form 990, Page 6, Part VI, Line 11B

A copy of the draft form 990 is provided to the organization's principal officer and all board members recipients are asked to review the draft and respond to the preparer with any questions or comments revisions if necessary are incorporated into the return, and a final version is delivered to the principal officer for signature
