Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee is made up of the organization's officers and committee chairpersons. The board may delegate to such committee any of the powers and authority of the board in the management of the business and affairs of the corporation, except with respect to: a)the approval of any action that, under law or the provisions of the bylaws, requires the approval of the board of directors. B)the filling of vacancies on the board or on any committee which has the authority of the board. C)the fixing of compensation or reimbursement of the directors for serving on the board or on any committee. D)the amendment or repeal of bylaws or the adoption of new bylaws. E)the appointment of committees of the board of the members, thereof. Form 990, Part VI, Section B, Line 11B

The board members review the prepared form 990 prior to filing with the irs. This is done at a regular board meeting. The executive director sends the form 990 to the members prior to the meeting, and at the meeting asks whether there are questions or comments.

The staff, officers and directors are all subject to the conflict of interest policy. Transactions are monitored by staff and the executive director (who is an officer). The determination would be made at the officer level. Restrictions imposed would be determined on a case by case basis.

Financial Statement Notes

PART IV, LINE 1B:

Ncc maintains a custodial fund to be used to benefit the pacific pocket mouse- ppm. Funds are invested during the year with northern trust.

PART X, LINE 2:

The coalition is a nonprofit organization as described in section 501(c)(3) of the internal revenue code (irc) and is exempt from federal and state income taxes on related income pursuant to section 501(a) of the irc and section 23701(d) of the california revenue and taxation code. Accordingly, no provision for income taxes has been reflected in the accompanying financial statements. Fasb asc topic 740, income taxes, requires management to evaluate the tax positions taken by the coalition and to recognize a tax liability if the coalition has taken an uncertain position that more likely than not would not be sustained upon examination by the internal revenue service. Management has analyzed the tax positions taken by the coalition and has concluded that, as of september 30, 2025, there are no uncertain positions taken, or expected to be taken, that would require recognition of a liability or disclosure in the financial statements. The coalition is subject to routine audits by the taxing jurisdictions. The statute of limitations for federal and california state purposes is generally three and four years, respectively.

Part IV, Line 2B

Per a letter of agreement among the u.s. Fish and wildlife service, the california department of fish and wildlife and the natural communities coalition, the coalition has taken over management of the pacific pocket mouse custodial fund. The custodial fund payable balance at september 30, 2025 and 2024, was $162,878 and $148,090, respectively.

Part V, Line 4

The ncc endowment consists of two donor-restricted funds primarily established to support the coalition's operations and mission. The two funds are the nccp/hcp endowment and the cowbird trapping endowment. As required by united states generally accepted accounting principles, net assets associated with endowment funds are classified and reported based on existence or absence of donor-imposed restrictions.

FEMALE COWBIRDS LAY THEIR EGGS IN THE NEST OF OTHER NATIVE BIRDS. THE SPECIES TO WHICH THE NEST BELONGS UNKNOWINGLY RAISE THE COWBIRD CHICK OFTEN TO THE DETRIMENT OF THEIR OWN CHICKS. IN AREAS WHERE COWBIRD POPULATIONS ARE HIGH, TRAPS ARE USED TO LOWER THEIR NUMBERS AND INCREASE REPRODUCTIVE AND FLEDGLING SUCCESS OF BIRD SPECIES PARASITIZED BY COWBIRDS. A TOTAL OF NEARLY ONE DOZEN TRAPS WERE DEPLOYED FOR A TOTAL OF MORE THAN 2,400 TRAPDAYS IN THE RESERVE WHERE COWBIRD IMPACTS ON PROTECTED SONGBIRDS ARE POTENTIALLY HIGH.
