Governance Explanations

The board members review the prepared form 990 prior to filing with the irs. This is done at a regular board meeting. The executive director sends the form 990 to the members prior to the meeting, and at the meeting asks whether there are questions or comments.

The staff, officers and directors are all subject to the conflict of interest policy. Transactions are monitored by staff and the executive director (who is an officer). The determination would be made at the officer level. Restrictions imposed would be determined on a case by case basis.

Financial Statement Notes

Part IV, Line 2B

Per a letter of agreement among the u.s. Fish and wildlife service, the california department of fish and wildlife and the natural communities coalition, the coalition has taken over management of the pacific pocket mouse custodial fund. The custodial fund payable balance at september 30, 2022 and 2021, was $110,648 and $129,632, respectively.

Part V, Line 4

The ncc endowment consists of two donor-restricted funds primarily established to support the coalition's operations and mission. The two funds are the nccp/hcp endowment and the cowbird trapping endowment. As required by united states generally accepted accounting principles, net assets associated with endowment funds are classified and reported based on existence or absence of donor-imposed restrictions.

Part X Line 2

The coalition is a nonprofit organization as described in section 50l(c)(3) of the internal revenue code (irc) and is exempt from federal and state income taxes on related income pursuant to section 501(a) of the irc and section 23701(d) of the california revenue and taxation code. Accordingly, no provision for income taxes has been reflected in the accompanying financial statements. Fasb asc topic 740, income taxes, requires management to evaluate the tax positions taken by the coalition and to recognize a tax liability if the coalition has taken an uncertain position that more likely than not would not be sustained upon examination by the internal revenue service. Management has analyzed the tax positions taken by the coalition and has concluded that, as of september 30, 2022, there are no uncertain positions taken, or expected to be taken, that would require recognition of a liability or disclosure in the financial statements. The coalition is subject to routine audits by the taxing jurisdictions. The statute of limitations for federal and california state purposes is generally three and four years, respectively.
