During this fiscal year, the executive committee did not act on behalf of the governing body. The committee members include 1) gay searcy, chairperson, 2) james orellano, vice chair, 3) james orellana, treasurer & finance chair, 4) david vliet, secretary/program chair, 5)marc martos-villa, treasurer, 6) bryan saafeld, admin chair, 7)sharon wright, audit chair, 8) lisa radcliffe, development chair, shahnaz mazandarani, president. The committee has full authority except for the following (a) the approval of any action which, under law or the provisions of these bylaws, requires the approval of the members or of a majority of all of the members, (b) the filing of vacancies on the board or on any committee which has the authority of the board, (c) the amendment or repeal fo bylaws or the adoption of new bylaws, (d) the amendement or repeal of any resolution of the board which by its express terms is not so amendable or repealable, (e) the appointment of committees of the board or the members thereof, (f) the expenditure of corporate fund to support a nominee for director aftere there are more people nominated for directer than can be elected, (g) the approval of any transaction ot which this corporation is a party and in which one or more of the directors has a material financial interest, except as expressly provided in section 5233(d)(3) of the california nonprofit public benefit corporation law.

Form 990 is reviewed by the finance committes who reports to the full board. A copy of the form is available for any board member who would like to review in a better way offices.

Board and staff members are asked to sign the conflict of interest policy and questionnaire each year in sept. New board members and staff members are given the policy and questionnaire during their orientation in the event that a better way solicits bids for services or products and a board or staff member or a relative are interested in submitting a proposal, the board or staff member will not be allowed to participate in the decision making process.

The compensation package for the president/ceo is determined by the board of directors based on a biannual review of performance. Board chair and vice chair or their designees, normally the human resources department of abw will research compensation plans of other organizations who provide similar services and have budgets in the same range as a better way, inc. Additionally during 2018-19 the organization conducted a market salary survey that included all the positions within the organization including the president/ceo. This information was used to adjust salaries.

Abw is exempt from taxation under internal revenue code section 501(c)(3) and california revenue and taxation code section 23701(d), and is considered by the irs to be an organization other than a private foundation. Generally accepted accounting principles provide accounting and disclosure guidance about positions taken by an organization in its tax returns that might be uncertain. Management has considered its tax positions and believes that all of the positions taken in abw's federal and state exempt organization returns are more likely than not to be sustained upon examination.

THE PEP AND PPP PROGRAMS ARE DEDICATED TO IMPROVING OUTCOMES FOR FAMILIES NAVIGATING THE CHILD WELFARE AND JUVENILE JUSTICE SYSTEMS. ARS IS AN EARLY INTERVENTION / DIFFERENTIAL RESPONSE SERVICE FOR FAMILIES WHO ARE AT RISK OF HAVING THEIR CHILDREN REMOVED FROM THEIR CARE DUE TO SAFETY AND SECURITY RISKS. FOR FISCAL YEAR 2019-20, THE PEP PROGRAM HANDLED 176 CASES, THEY PARTICIPATED IN 571 CHILD FAMILY TEAM MEETINGS, 47 SUPPORT GROUPS THAT INCLUDED 269 FATHERHOOD AND 238 PARENT LEADERSHIP PARTICIPANTS. THIS PROGRAM ALSO ATTENDED NUMEROUS OTHER COUNTY TEAM MEETINGS, PANELS, COMMITTEES, AND WORKGROUPS AND PROVIDED TRAININGS TO THE COMMUNITY. SF-PPP SERVED 169 PARENTS THAT 01 OF PARENTS WERE INVOLVED WITH THE JUVENILE PROBATION DEPARTMENT AND 168 WITH THE CHILD WELFARE SYSTEM. THE PROGRAM ATTENDED 430 CHILD FAMILY TEAM MEETINGS. ARS HAD A TOTAL OF 255 FAMILIES REFERRED FOR SERVICES OF WHICH 180 CASES WERE ENROLLED IN THE PROGRAM.
