Governance Explanations

Form 990, Page 6, Part VI, Line 6

Beaverton farmers market is organized as a not-for-profit corporation with an elected board of directors that serves as the governing body, as well as voting members who have approval and input into significant decisions of the governing body.

Form 990, Page 6, Part VI, Line 7A

Beaverton farmers market members have voting rights to elect members of the board of directors and to make amendments to the market's bylaws. The bylaws can be amended by a majority vote of the membership, unless the change is merely an editorial change, in which case the members will be notified that the amendments have been made. All members also have input into the market's activities via the board of directors.

All members also have input into the market's activities via the board of directors.

Form 990, Page 6, Part VI, Line 11B

The bookkeeper and president conduct a review of the draft prepared by the accountant to verify the accuracy of its contents. The members of the board of directors are provided with electronic copies of the complete form 990, and the president signs the e-file form 8879-eo and instructs the accountant to file the form 990 with the irs.

Form 990, Page 6, Part VI, Line 12C

Our conflict of interest policy covers the board of directors, officers, and staff. Persons covered by this policy review it annually and are required to disclose potential conflicts to the president. The president then follows the guidelines in the policy to determine the next steps including, but not limited to, disclosure to the board, recusal from discussions and/or decisions, and resignation. In addition, our staff will monitor proposed or ongoing transactions for conflicts of interest and disclose them to the president of the board of directors in order to deal with potential or actual conflicts, whether discovered before or after the transaction has occurred.

Form 990, Page 6, Part VI, Line 19

Beaverton farmers market makes copies of governing documents (articles of incorporation, bylaws, and policies), form 990, and any other legally required documents, available for public inspection by request in person at the market office or in writing.

FORM 990 - ORGANIZATION'S MISSION

Our mission is to give our community access to a wide variety of fresh, local, in-season farm and artisan food products direct from the producer, to provide an informal social gathering place in an open-air setting, to enhance the beaverton community, and to support our local growers and artisan food makers by providing them with direct marketing opportunities in our markets.

Form 990, Page 2, Part III, Line 4A

We operate a saturday market february through november. The saturday market is the largest event in the city of beaverton most weeks, with thousands of visitors. It remains the community gathering place. We work to improve community public health and welfare, and to improve direct marketing opportunities of local farms and food producers. In support of this we act as a market maker insuring a vibrant mix of vendors and patrons. We offer free-to-the-public programming at the market regarding public health and welfare (kids' market sprouts program focuses on early education of healthy eating and we provide non-vendor spaces to local nonprofit service oriented organizations), we require vendors to accept standard federal and state food assistance programs, we support gleaners programs collecting unsold food donations for food banks, we secure and manage the physical market site on market days, and we curate a vendor list selected to drive community attendance across seasons and socioeconomic statuses.

Form 990, Page 2, Part III, Line 4B

The market manages a grant from the american heart society which provides funds for individuals who are identified as "food insecure" by the portland clinic. Those individuals are given a voucher which they redeem at the market for tokens, a form of market currency, which allows them to shop for food with our vendors. We also manage a grant from the tualatin soil and conservation district, which we supplement with additional funds. Both monies are put into our vendor development grant program. This grant provides funds for applicants from our small farms and businesses for projects and or equipment that will help them grow their business. Capital is often in short supply for these start up businesses. A grant through this program often provides the "leg up" they need to make improvements. The market also participates in the double up food bucks program which provides coupons that will match up to 20 purchased with a snap benefits card. The coupons are then used to buy fresh fruits and vegetables from our farmers.

IRS990/ProgSrvcAccomActy2Grp/Desc0THE MARKET MANAGES A GRANT FROM THE AMERICAN HEART SOCIETY WHICH PROVIDES FUNDS FOR INDIVIDUALS WHO ARE IDENTIFIED AS "FOOD INSECURE" BY THE PORTLAND CLINIC.

BEAVERTON FARMERS MARKET REIMBURSES THE VENDORS FOR THE VALUE OF THE GOODS WHEN THE VENDORS TURN THE TOKENS IN. THE VENDORS ACCOUNT FOR THE GOODS GIVEN IN EXCHANGE FOR THE TOKENS AT THE TIME THEY RECEIVE THE GRANT, SO NO FURTHER MONITORING IS NEEDED.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1WE OPERATE A SATURDAY MARKET FEBRUARY THROUGH NOVEMBER.
