Governance Explanations

Form 990, Page 6, Part VI, Line 6

The organization has members.

Form 990, Page 6, Part VI, Line 7A

Members may elect board members and are asked to ratify board members who are named to the board between annual meetings.

Form 990, Page 6, Part VI, Line 7B

Members may also take direct action to overturn a decision of a board member or remove a member from the board.

Form 990, Page 6, Part VI, Line 11B

The executive director and treasurer review the draft 990 prepared by independent paid preparer. Thereafter, corrections are provided by management to the paid preparer and the final return is reviewed by the executive director and treasurer prior to filing of the final form 990 with the irs.

Form 990, Page 6, Part VI, Line 12C

Each director, principal officer and member of a committee with board delegated powers annually signs a statement affirming their knowledge and understanding of the conflict of interest policy. Each voting member of the board annually signs a statement declaring they are an independent director. If at any time during the year the information in the annual statement changes materially, the director shall disclose such changes and revise the annual disclosure form. The executive committee shall enforce compliance with this policy by reviewing annual statements and taking such other actions as are necessary for effective oversight.

Form 990, Page 6, Part VI, Line 15A

Compensation for the executive director is subject to a review and approval process by independent board members on an annual basis using comparable data for similar positions in comparable organizations. The process and decisions are documented in writing.

Form 990, Page 6, Part VI, Line 19

The conflict of interest policy and audited financial statements for the most recently completed year are available to the public upon request. Articles of incorporation and by-laws are normally not provided.
