Do you have any relatives or friends (such as roommates) who are currently working for us?" during new hire orientation employees sign an acknowledgment indicating they received an overview of cascadia's personnel policy manual and know how to access these policies. In addition, the signed acknowledgment states that the policy manual contains important information that outlines the rules, benefits and responsibilities of cascadia employees. As stated in our conflict of interest policy, if employees face a potential conflict of interest they are responsible for reporting this to a supervisor immediately. Board members are asked annually in the board meeting to discuss whether or not they have a conflict of interest. Employee conflict of interest policy: if an actual or potential conflict is determined, cascadia may take whatever corrective action appears appropriate according to the circumstances. Failure to disclose potential or actual conflicts of interest will result in disciplinary action, including possible termination. Board conflict of interest policy: procedures for addressing conflicts of interest: - an interested person may make a presentation at the directors or committee meeting, but after the presentation, the interested person shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. - the directors or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. - after exercising due diligence, the directors or committee shall determine whether the corporation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. - if a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the directors or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.”
