“All voting members of the Board of Directory review the Form 990 individually, if desired, and are requested to respond in writing or by email to the Executive Director with questions or objections. Any questions or objections that cannot be resolved with the Executive Director shall go before the subsequent board meeting for discussion. The Form 990 filing will be extended if necessary. Approval of all voting members shall be obtained before filing.”

Outside advisors may be used but shall not relieve the governing board of its responsibility for ensuring periodic reviews are conducted.”

Board members may not have any personal interest in the compensation arrangement. OCDLA's primary objective is to attract and retain executive director talent as well as to pay reasonable compensation for services provided by the executive director.”
