Governance Explanations

Form 990, Part VI, Section A, Line 6

Membership in the organization is divided into two classes. Regular members include individuals, partnerships or corporations enfranchised to sell new motor vehicles or trucks in the state of oregon. Associate members include individuals, partnerships or corporations engaged in a business allied in any way with that of dealing in new motor vehicles or trucks in the state of oregon. Thirteen directors are elected by members within their respective election districts as outlined in the organization's bylaws. They serve a three year term and elections are staggered so 3-4 members are elected each year. Only regular members have voting rights.

Only regular members whose dues are fully paid shall be eligible for membership on the board of directors or to hold office in the association, and only such members shall have the right to vote in any election or on any question concerning or affecting the corporate life, government or financial affairs of the association.

The form 990 is reviewed by the executive vice president and copies are made available to any board member upon request.

The process for determining compensation of the organization's management officials includes independent reviews, use of comparability data and written substantiation of the decision-making process. The executive director has a five-year compensation contract that went into effect july 2020. Form 990, part vi, section b, line 15a: no compensation is paid to other officers; the organization has no key employees.

Financial Statement Notes

PART X, LINE 2:

Oada has been recognized by the internal revenue service as exempt from income tax in accordance with section 501(c)(6) of the internal revenue code and is therefore generally exempt from federal and state income taxes. However, oada is taxed on income derived from activities that constitute a trade or business that is regularly carried on and not substantially related to the association's tax-exempt purposes. Oada's wholly owned subsidiary, oads is a taxable entity and is, therefore, subject to federal income taxes. Oads files a separate federal income tax return. The association uses the asset and liability method of accounting for income taxes. Under this method, deferred tax assets and liabilities are recognized for the future tax consequences attributable to differences between carrying amounts of existing assets and liabilities and their respective tax basis. Deferred tax assets and liabilities are measured using enacted tax rates expected to apply to taxable income of the years in which those temporary differences are expected to be recovered or settled. Valuation allowances are established when necessary to reduce deferred tax assets to the amount expected to be realized. Income tax benefits of uncertain tax positions are recognized only when it is more likely than not that the tax positions will be sustained upon examination. The association's policy is to classify income tax related interest and penalties, if any, in income tax expense.
