Governance Explanations

Form 990, Part VI, Section B, Line 11B

As part of the strategic planning process, we routinely consider how we can best achieve our mission, both locally and nationally to save lives by improving lung health and preventing lung disease. After an extensive internal and external review process, our volunteer and staff leadership identified a change in our operating structure would enable us to best fulfill our mission. The american lung association's national board of directors and all eight charter boards of directors unanimously voted to unite our organization into a single nationwide organization. The merger was completed on july 1, 2017. Subsequent to this merger, american lung association has established the following review process to ensure that the information reported is complete and accurate. The american lung association of the mountain pacific's 990 was prepared by an outside accounting firm and reviewed by the cfo and other management. Prior to electronic submission, it is reviewed and accepted by the organization's delegate responsible body, the audit and risk oversight committee.

Form 990, Part VI, Section B, Line 12C

Policy is sent to board members annually to bring it to their attention. Staff is e-mailed info about the policy periodically to remind them. Employees, some volunteers and others are required to sign the forms as part of their orientation.

Salaries are set utilizing a purchased in-depth non-profit salary survey. Salary ranges are reviewed by the ceo for approval. Search firm worked with board of directors to set appropriate president and ceo salary.

PART IV, LINE 2B:

The association serves as the administrator for the saidie orr dunbar nursing education fund (the fund). Disbursements are made from the fund by the association in accordance with the wishes of the board of trustees for the fund. One board member or senior staff of the association's board sits on the board of trustees. The association also holds funds for the washington thoracic society. As the association lacks control of these funds, they have been recorded as both an asset and an off-setting liability. Activity in the fund is not recorded as income or expense for the association.

IN THE UPCOMING YEAR, WE WILL SUPPORT THE IMPLEMENTATION OF SMOKEFREE HOUSING AND COLLEGE CAMPUSES, TOBACCO CESSATION PROGRAMS TARGETING DISPARATE POPULATIONS AND YOUTH LED TOBACCO PREVENTION PROGRAMS.
