Documentation for form 990 is prepared by the accounting & finance director. The completed 990 form from moss adams is reviewed by the general manager before being e-mailed to the audit committee for review. The form is then e-mailed to the full board before being signed by the general manager and filed.

Annual reviews are conducted to enforce the conflict of interest policy. New conflict of interest statements are signed each year by new board members, executive team members, as well as all members of major committees. Members with a conflict are asked to abstain from voting if a conflict exists.

The board of trustees engaged an independent third party consultant to do a market review of the general manager's comprehensive compensation package. This was reviewed by the board of trustees and engaged lawyers to determine a compensation strategy for the general manager. Key employees wages are reviewed against similar industries and data provided from compensation surveys.

Financial Statement Notes

PART III, LINE 4:

The mac has historically collected works by local and northwest regional artists for the enjoyment of its membership. The art committee's mission is stewardship of the collection, including but not limited to acquiring, maintaining, placing, and recommending the decommissioning of the art. The committee also produces periodic exhibits showcasing works of art for the purpose of art education and enrichment.

PART X, LINE 2:

Fin 48 (asc 740) uncertain tax positions footnote - the club recognizes the tax benefit from uncertain tax positions only if it is more likely than not that the tax positions will be sustained on examination by the tax authorities, based on the technical merits of the position. The tax benefit is measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The club recognizes interest and penalties related to income tax matters, if any, in taxes on unrelated business income. During the years ended december 31, 2024 and 2023, the club recognized no material uncertain tax positions. In accordance with the requirements related to accounting for uncertainty in income taxes, the club determined that it had no unrecognized tax benefits at december 31, 2024. The club files an exempt organization income tax return and an unrelated business income tax return in the u.s. Federal jurisdiction and a corporate tax return with the oregon department of revenue and the city of portland.
