“The board, by resolution adopted by a majority of the directors in office, may designate and appoint one or more committees, each consisting of two (2) or more directors, which committees shall have and exercise the authority of the board in the governance of the corporation. However, no committee shall have the authority to amend or repeal these bylaws, elect or remove any officer or director, adopt a plan of merger, or authorize the voluntary dissolution of the corporation.”

“A draft of the 990 return will be provided to all board members for review prior to filing.”

“The conflict of interest policy applies to any person who is, or who was during the past five (5) years, a director, principal officer, or member of a committee with board delegated powers, and who has a direct or indirect financial interest in the foundation. Additionally, the policy applies to family members of any such person, as well as any business trust or estate at least 35% owned by any of the above mentioned persons. Each director, principal officer and member of a committee with board delegated powers shall annually sign a statement which affirms receipt, understanding and compliance with the policy, in connection with any actual or possible conflict of interest, an interested person must disclose the existence and nature of his or her financial interest, and must be given the opportunity to disclose all material facts, to the directors and members of committees with board delegated powers that are considering the proposed transaction or arrangement. An interested person may make a presentation at the board or committee meeting, but after the presentation, he or she shall leave the meeting during the discussion of and the vote on the transaction or arrangement that results in the conflict of interest.”
