Our goal is to sustainably improve animal welfare, provide veterinary care, and improve veterinary education globally. In order to achieve this goal, we work in over 10 countries, across 5 continents, supporting local people and animals, vet clinics and conservation initiatives. Each of our locations is unique, but whether we are working with wild or domestic animals, helping shelters, organising sterilisation campaigns, or training local vets, the aim is the same: to improve the lives of the animals. The form 990 is prepared by external accountants. Board members were provided with a draft copy of the 990, along with the attached schedules, for review and approval prior to its signature and submission.

Form 990, Part VI, Section B, Line 12C

All covered persons, board members, officers, key employees, and members of any committee with board-delegated powers, are required to disclose any actual or potential conflicts of interest annually, through a signed disclosure form and promptly, whenever a new potential conflict arises. In the case of a potential conflict of interest the board of directors or an appropriate committee reviews all disclosures to determine whether a conflict exists. The interested person must recuse themselves from discussions and votes related to the matter under review. The board or committee may appoint a disinterested person or subcommittee to investigate alternatives to the proposed transaction. In evaluating a potential conflict, the board or committee considers whether the transaction or arrangement is fair and reasonable to the organization; the transaction serves the organization's charitable purposes; and a more advantageous transaction is reasonably possible that would not create a conflict. When a conflict of interest is determined to exist the interested person shall not participate in deliberations, discussions, or votes regarding the transaction or arrangement. If a covered person fails to disclose a conflict or violates this policy, the board may take corrective action, including: - removal from a committee or board position - termination of employment or other disciplinary measures all disclosures, deliberations, and decisions shall be documented in meeting minutes.

Form 990, Part VI, Section B, Line 15

The process for determining compensation for officers, directors, key employees, and other highly compensated persons was conducted in compliance with irs requirements and included all three components: review and approval by independent persons: compensation decisions were reviewed and approved solely by disinterested board members or a designated compensation committee. Any person whose compensation was under review recused themselves from discussion and voting. Comparability data: the board reviewed relevant comparability data, including salary surveys, compensation studies, and information from similarly sized nonprofit organizations in the same sector and geographic region, to ensure that compensation is reasonable and consistent with the organization's mission. Contemporaneous substantiation: all deliberations, discussions, and decisions were documented in the minutes of board or committee meetings, including the data reviewed, alternatives considered, and the final approved compensation amounts, providing a clear contemporaneous record of the process. The most recent compensation review process took place in january 2024. The organization did not compensate any employees during 2024.
