Governance Explanations

Form 990, Part VI, Section A, Line 7A

The board of directors of southwest key programs, inc. (the "member") has the power to elect or appoint and remove the organization's board of directors when in its judgement, the decision is in the best interest of the organization. The nominating committee (the "committee")shall nominate persons for election to the board of directors. Nominations will be solicited from all current board directors. Upon approval by the organization's board of directors, the president shall submit such nominations to the board of directors of the member for its consideration at its next meeting. The board of directors of the member may submit such additional names as it desires, including directors to the board of directors of the member to meet membership requirements. The committee shall be composed of four persons: three (3) from the organization board of directors and one (1) from the board of directors of the member. The committee shall nominate directors and officers for the organization. The committee shall evaluate the leadership needs of the organization and determine roles and responsibilities for directors. The committee shall invite elected directors and officers to serve and plan and lead orientation for new directors. The committee shall review and assess the results of these activities and make recommendations for improvements. The committee shall report regularly on its activities to the board of directors. Any officer of the organization may be removed from office by a simple majority of the board of directors, and if the officer is also a member of the board of directors, such officer may be removed by a simple majority of the member whenever, in its judgment, the best interest of the organization will be served thereby.

The bylaws may be amended by an affirmative vote of a two-thirds (2/3) majority of the directors of the board of directors at the annual or any special meeting of the board provided a full statement of such proposed amendment shall have been published in the notice calling the meeting, provided, however, that no amendment to the bylaws shall be effective unless also presented to and approved in writing by the board of directors of the member.

Determinations regarding conflict of interest inquiries are documented in the minutes of the board of directors or through a written report provided by the ceo to the board of directors. The interested party involved does not participate in a decision related to the potential conflict. If a conflict of interest exists, a determination will be made regarding whether a more advantageous arrangement is possible. If a more advantageous transaction or arrangement is not reasonably possible, then it is determined by a majority vote of the disinterested person whether the conflict of interet is fair and in the organization's best interest.

THE ORGANIZATION WILL PROVIDE SUPPORT AND SERVICES TO UNDERSERVED YOUTH AND FAMILIES WHO HAVE EXHAUSTED SERVICES PREVIOUSLY PROVIDED BY SOUTHWEST KEY PROGRAMS, AN ESTABLISHED SECTION 501(C)(3) CHARITABLE ORGANIZATION. THE ORGANIZATION WILL LAUNCH AND SUPPORT INITIATIVES THAT EDUCATE AND MOBILIZE YOUTH AND FAMILIES WHO ARE SEEKING SUPPORT SERVICES TO ENHANCE THEIR KNOWLEDGE AND SKILL SET AFTER RECEIVING SERVICES FROM SOUTHWEST KEY PROGRAMS.
