“The board delegates authority to an executive committee. All the members of the executive committee are members of the board. The executive committee is authorized to act on behalf of the board between board meetings on routine matters or time sensitive issues. Its actions are subject to review by the full board at its next regular meeting. The executive committee cannot approve changes to the bylaws, make financial committments above a specified threshold, or take actions that are reserved to the full board under the organization's governance policies.”

“The local workforce board members are appointed bt the chief elected officials in the local area. The chief elected officials have delegated this authority to the chief elected officials board. The chief elected officials board consists of one member from each of the 20 counties.”

“Board members were each given a draft copy of the form 990 to review and provided opportunity to ask questions and make corrections and clarifications”

“The organization has a formal conflict-of-interest policy that is reviewed annually. Each year board members and key staff are required to complete and sign a conflict-of-interest disclosure form, affirming their compliance with the policy and disclosing any potential conflicts. The completed forms are reviewed by the executive director to ensure compliance. If any conflicts are identifiexd, they are evaluated and addressed in accordance with the organization's policy. Additionally, board members are reminded of the conflict of interest policy at the beginning each fiscal year and board meetings when relevant decisions are made.”

“Staff salaries and incentive payments are reviewed annually following performance evaluations. The excutive committee reviews and approves salary and incentive payments and assures compliance with budgetary constraints and salary and bonus limitation under public law 109-234.”
