Form 990, Part VI, Section B, Line 12C

Ampt advancing nonprofits maintains a written conflict of interest (coi) policy, which is reviewed by management and the president of the board of directors' at least annually and modified as required. The board of directors and officers of the organization are required to certify annually that they have read and understand the coi policy and submit a written questionnaire each year disclosing any known conflicts. The responses to the questionnaires are reviewed by management. Management also monitors all transactions during the normal course of business to identify other potential conflicts and reviews potential conflicts to determine whether any actual conflicts exist. Individuals who believe they are in a potentialconflict are required to recuse themselves from the deliberation and decision making process.

Form 990, Part VI, Section B, Line 15A

The executive committee determines compensation for the ceo and approvescompensation ranges for all disqualified persons, which includes otherofficers and all key employees. In fulfilling the board's oversightresponsibilities for determining the adequacy and reasonableness of thecompensation and benefits paid to the ceo and other disqualified persons,the committee conducts an annual review of performance against definedgoals, (b) annually reviews compensation and benefits in relation to themarketplace and relevant independent data, and (c) determines changes inthe ceo and other disqualified persons' compensation and/or benefits. Alldiscussions and decisions are contemporaneously documented in thecommittee's minutes.

Financial Statement Notes

Part X : FIN48 Footnote

The Organization is recognized as a tax-exempt organization under Section 501(c)(3) of the Internal Revenue Code and is exempt from federal and State income taxes on related income. In addition, the Organization has been determined by the Internal Revenue Service (IRS) not to be a private foundation within the meaning of section 509(a) of the IRC. The Organization had no unrelated business income during fiscal year 2024, therefore, no provision for federal or State income taxes has been made in the accompanying financial statements. The accounting standard on accounting for uncertainty in income taxes addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. This requires the evaluation of tax positions taken or expected to be taken in the course of preparing the Organizations tax returns to determine whether the tax positions are more likely than not of being sustained when challenged or when examined by the applicable tax authority. For the year ended December 31, 2024, management has determined that there were no material uncertain tax positions.

Therefore, AMPT provides the services and expertise of an executive coach for up to 10 hours over 8 months to support nonprofit leaders as they work towards their organizational goals and develop their leadership.
