“DEFI FIRST: IMPROVING CODE SECURITY ("DEFI") has entered into a Loan Agreement (the "Loan Agreement"), dated as of June 12, 2023, by and between DEFI and Certora Ltd., a company incorporated under the laws of Israel ("Certora"), under which Certora provided DEFI with a loan of an initial principal amount of $400,000, which principal amount can be increased to $500,000 at the option of DEFI, at an interest rate set according to the minimum interest rate permissible under Section 3(j) of the Israeli Income Tax Ordinance and Income Tax Regulations(the "Loan"). The Loan will mature, and all outstanding principal and interest will be due to be paid to Certora, on June 12, 2027 or such later date as Certora agrees to in writing at its sole discretion. DEFI and Certora entered into the Loan Agreement to fund DEFI's general activities, including without limitation, the DSS conference. Mooly Sagiv, president and director of DEFI, is the current Chief Executive Officer of Certora; Amit Sassi, treasurer of DEFI, is the Director of Finance of Certora; Lori Blonn, secretary of DEFI, is the former Head of United States Operations of DEFI; and Curtis W. Spencer IV, director of DEFI, is a director of and holds an equity interest in Certora. Certora employees provide volunteer services to DEFI in a variety of areas at no cost, including helping to arrange sponsorships and providing operational support for the DSS conference. DEFI entered into the Loan Agreement with Certora to further DEFI's charitable purposes. The Loan was negotiated at arms-length, and Certora agreed to provide the Loan at the minimum interest rate permissible under Section 3(j) of the Israeli Income Tax Ordinance and Income Tax Regulations. As a corporate sponsor of DSS, Certora receives certain benefits, which include having the company's name presented as a corporate sponsor, having the opportunity for certain Certora employees to attend DSS, and having the opportunity for certain Certora employees to teach sessions at DSS. These same benefits are also provided to all other corporate sponsors of DSS.”

“While Defi First: Improving Code Security's (Defi) management is based in the United States, some of Defi's operational, legal, and financial work is carried out by independent contractors located in Israel, and some of Defi's marketing work is carried out by independent contractors located in Argentina and France. Applicant also is currently working with an independent contractor located in Argentina to upgrade the DSS website. In addition, the DSS summits are international events that draw attendees from around the world. The 2024 DSS was held in Bangkok, Thailand. Given the inherently global nature of DeFi, blockchain technology, and the threats Defi aims to prevent through education and training, Defi expects future DSS summits to continue to be held internationally at various global informational hubs and to target both U.S.-based and international attendees.”
