The sole member of OVHC is Camden Clark Health Services, Inc., a West Virginia nonprofit tax-exempt organization which serves as the parent entity of Camden Clark Medical Center, a nonprofit hospital in Wood County, West Virginia.

Form 990, Part VI, Section A, Line 7A

The business and affairs of the Corporation shall be managed by and under the authority of its Board of Directors. The Board shall be appointed in accordance with the Bylaws of the Corporation. At any time, the Member i may designate voting or non-voting ex officio directors as it deems appropriate, and ii may provide for staggered terms for directors, other than ex officio directors, both as shall be further set forth in the Bylaws.

Form 990, Part VI, Section A, Line 7B

The Member shall direct and manage the business affairs of the Corporation and shall coordinate its policy making and strategic long-range planning efforts. Powers reserved to the Member and its sole member, West Virginia United Health System, Inc. WVUHS, shall include but are not limited to the following Corporate Governance - Remove any member of members of the Corporations Board of Directors Approve amendments to these articles of incorporation or the Corporations Bylaws Approve the dissolution, merger of or with, or consolidation of the Corporation and Approve the sale, lease, exchange, mortgage, pledge or other disposition of all or substantially all of the Corporation.

The Form 990 is completed by the West Virginia United Health System tax team and then sent to the Vice President for review and approval. The annual Form 990 is then provided to the board of directors for review, prior to filing.

Most of the entities that comprise the System are tax-exempt organizations and not subject to federal or state income taxes in accordance with Section 501c3 of the Internal Revenue Code. On such basis, they will not incur any liability for income taxes, except for possible unrelated business income. AHS, BCHS, PHIC, and HPN are organizations subject to federal and/or state income taxes. The System does not have any material uncertain tax positions as of December 31, 2024 and 2023.
