Governance Explanations

Form 990, Page 6, Part VI, Line 11B

The accountant in conjunction with the external cpa firm prepares the irs form 990 by the due date each year. An extension may be submitted to the irs if needed. Form 990 will be signed by the executive director. A copy of the draft form 990 will be reviewed and approved by the finance committee prior to its filing by the due date set forth by the irs. All board members will receive a copy of the return as filed. Once approved, form 990 will be electronically filed by the outside cpa firm. A copy of the form will be kept in the executive directors' files and will be made available for public inspection and/or copying on guidestar. State tax returns must be prepared in accordance with pa state guidelines by the due date. Ppc will track any activities which may be subject to unrelated business taxable income, filed on form 990-t. This includes any unrelated business income that is not substantially related to the charitable, educational, or other purpose that is the basis of the organization's exemption. Ppc will make estimated tax payments if it expects its tax for the year to be 500 or more in accordance with irs guidelines.

All real or perceived conflicts of interest must be brought to the attention of the executive director for consideration, resolution, and direction. All new staff and board members sign a conflict of interest form upon hiring or upon board membership. All staff and members of the board of directors must sign a conflict-of-interest form annually.

The board of directors approves the salary of the executive director and any other key employees as part of the budget-approval process.
