The organization has a conflict of interest policy that applies to all board members and committee members. Covered individuals are required to disclose any conflicts of interest when joining the board/committee and annually thereafter. Any potential conflict of interest that may affect a matter under consideration shall be disclosed by the director to the board of directors and made a matter of record as soon as the possible conflict is determined. The interested director shall not vote on such matter and shall not attempt to exert influence in connection with the matter. He or she may make a presentation at the board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The organization may only enter a transaction for any matter in which a director has a material financial interest if the board of directors determines in good faith, prior to entering the transaction, that: (a) the organization will enter into the transaction for its own benefit; (b) the transaction is fair and reasonable to the organization; and (c) after reasonable investigation, the organization could not have obtained a more advantageous arrangement with reasonable effort under the circumstances.
